Further to Adam’s comment we wanted to provide the following clarification on the carry fee.

Freetrade shareholders hold their shares directly, not through a nominee account. Therefore Crowdcube is unable to collect the carry fee on transactions in which it is not involved (i.e. a private sale between two shareholders).

Shares purchased via Crowdcube in the 2021 crowdfunding campaign are only subject to a carry fee of 5% on profits if these shares are sold through a transaction (i.e. a secondary sale or an initial public offering) in which Crowdcube is involved.

If Crowdcube is involved in a transaction in the future, Freetrade will assist Crowdcube in collecting the carry that they are owed in line with their terms and conditions.

It is important to emphasise that these conditions only apply to shares purchased via Crowdcube after April 2021. Shares purchased in previous crowdfunding rounds are not subject to this condition.
