When I enquired with CC they said it applies to any funding round post 1 April so the 5% fee WILL apply sadly.

When a firm raises money, it’s usually because they have specific plans for it or are running out of Capital. Not because they want to add funds to their general bank balance.

As such, its a normal question to ask why FT are raising funds now.

Usually they edit the initial post to include the link before go live but I agree that it ought to be up by now.

The more I think about this, the more questions I have.

If I hold my shares through IPO and I do happen to owe Crowdcube 5% would I have to pay that to them upfront in cash?

The simple solution is Adam being a hero and telling us that Freetrade are grandfathered in because of their long standing relationship with Freetrade and no success fees are applicable! That’ll keep it simple.

Question: what is the ultimate plan for Freetrade? Is their an intention to IPO (like Robinhood) or do they want to take the private / crowd funding equity as far as possible? What could be a turning point?

The previous rounds we got share certificates in freetrade.
Now not any more


Am sure in the event of a IPO they will ask people to pay X amount or they withhold 5% of the holding

Was that a Freetrade round or another entity? I wouldn’t say that is conclusive, as I have a mixture of directly held and through a nominee. Doesnt mean all will be the same.

I invested in 2 more companies since April and the certificate has changed to a boring plane text sheet.

IMO it’s a bit mad to choose not to make a potentially lucrative investment just because you are worried about a 5% fee or CGT. Unfortunately fees and taxes are just unavoidable. CC have to establish more revenue streams now the merger with Seedrs was banned.

In what world does it make sense not to make a profit just to avoid paying 5% of it?
